2. Acceptance of Terms

By engaging cortivexds for Services — through a signed proposal, purchase order, or payment — the Client accepts these Terms in full. Services are available only to organizations and individuals who are 18 years of age or older and legally capable of entering binding agreements.

3. Service Description

cortivexds provides professional consulting and training services related to AI integration. Current offerings:

• AI Awareness Seminar for Stakeholders — half-day educational session, ฿10,500.
• AI-Enhanced Workflow Design — 4-6 week consulting engagement, ฿38,000.
• Organization-Wide AI Capability Building — 4-6 month program, ฿58,500.

Services are delivered primarily in Bangkok. Remote delivery may be arranged by mutual agreement.

4. Client Responsibilities

Clients agree to: provide timely access to personnel and documentation; designate a point of contact with decision authority; participate in milestone reviews; ensure data shared with cortivexds is shared lawfully; and use deliverables only for internal organizational purposes.

5. Intellectual Property

Upon full payment, cortivexds grants the Client a non-exclusive, non-transferable license to use Deliverables for internal purposes. cortivexds retains all IP rights in its methodologies and tools. Clients may not resell or sublicense Deliverables.

6. Payment Terms

All prices are in Thai Baht inclusive of applicable VAT. Standard terms: Seminar — full payment 7 days prior to session. Workflow Design — 50% on commencement, 50% on final delivery. Capability Building — equal installments at months 1, 3, and 6. Late payments may incur 1% monthly interest. Services may be paused for accounts more than 30 days overdue.

7. Cancellations and Refunds

Seminar: Full refund 7+ days prior; 50% refund 3-6 days prior; no refund within 48 hours. Workflow Design: Fees due for work completed to date of cancellation. Capability Building: Fees for completed phases are non-refundable; remaining installments are not due upon cancellation.

8. Disclaimers

cortivexds provides professional services based on current knowledge and reasonable judgment. We do not make representations about specific business outcomes. AI technology evolves rapidly and cortivexds is not responsible for changes in tool capabilities following engagement completion. Services are provided without outcome-based performance conditions unless explicitly agreed in writing.

9. Limitation of Liability

To the maximum extent permitted by Thai law, cortivexds's total liability for any claim shall not exceed the total fees paid for that specific engagement. cortivexds is not liable for indirect, consequential, or punitive damages. Nothing here excludes liability for death or personal injury caused by negligence.

10. Confidentiality

cortivexds treats all client information as confidential and will not disclose it to third parties without written consent, except as required by law. Mutual confidentiality terms are available in writing upon request.

11. Termination

Either party may terminate by providing 14 days' written notice. Material breach that remains uncured 10 days after notice permits immediate termination. IP, confidentiality, payment, liability, and dispute resolution provisions survive termination.

12. Dispute Resolution

These Terms are governed by the laws of Thailand. Disputes are subject to the exclusive jurisdiction of Bangkok courts. The parties agree to attempt resolution through 30 days of good-faith negotiation before initiating formal proceedings.

13. General Provisions

These Terms constitute the entire agreement unless supplemented by a signed statement of work. If any provision is unenforceable, remaining provisions continue in effect. Failure to enforce any provision is not a waiver.

14. Changes to Terms

cortivexds may update these Terms with notice on our website and an updated effective date. Material changes affecting ongoing engagements are communicated directly to affected clients.
